Contract of Sales
- RAFFAZ TECHNOLOGY – SALES AND SERVICES AGREEMENT (contract of sales)
Thank you for choosing Raffaz Technology. By making payment against this invoice, you (the “Client”) agree to the following terms and conditions, which form a legally binding agreement with Raffaz Technology (“Raffaz”) you are advised to read this thoroughly to ensure your interest is protected. This agreement governs all services rendered including website design, domain purchase, hosting, mobile app design and development, social media management, database sales, and software solutions.
1. Project Commencement Services will begin only after: Receipt of initial payment (as per the agreed payment structure).Submission of all required forms and project briefs by the client.
2. Delivery Timeline Corporate Website Design:
Delivered within 10 business days.
E-commerce Website Design: Delivered within 15 business days.
Mobile App Design & Development: Timeline based on scope, typically 4–8 weeks.
Custom Software Development: Timeline agreed in project brief.
Hosting Setup or Migration: 1–3 business days.
Domain Purchase: Completed within 24–48 hours.
Social Media Setup/Management: Campaign setup within 5 business days.
Timelines begin only after required materials and payment are received.
3. Payment Terms Preferred: 100% upfront. Alternative: 70% upfront, 30% upon review before final delivery.
For projects exceeding $5,000 or long-term engagements, milestone payments may be arranged with a formal agreement.
4. Balance Payment and Delays:
Clients must communicate any delays in payment with a proposed payment date. Projects will be finalized but will not be delivered to the client, until the balance is paid. If balance remains unpaid after 30 days of project completion, Raffaz reserves the right to suspend services or access.
5. Non-Payment & Reinstatement Policy
If payment is not received within 30, a warning of non-payment will be issued for 15 days to make a completion of 45 days post-launch, after which Raffaz may take down the website/app or suspend services.
A reactivation fee of 10% of the total project cost, maybe charged as fine for payment default, to restore access. Data will be retained for 60 days unless otherwise agreed.
6. Refund Policy
- If Raffaz fails to deliver services within the agreed timeframe: This means if we did not have anything to show you, that we have done within the specified timeframe, The client may request a 100% refund of the amount will be paid. However Refunds do not apply if delays are caused by the client (e.g., delayed feedback, incomplete information or materials etc). Refund doesn’t apply for a completed project that await correction and adjustments from the the client review. Refund doesn’t apply for a dissatis
7. Revisions and Change Requests:
Clients are entitled to up to two rounds of revisions within the original project scope. Additional revisions or requests outside scope will attract extra charges, which will be quoted and agreed upon in advance.
8. Confidentiality
All client data, business ideas, and proprietary materials are treated with strict confidentiality and will not be shared or used for any purpose other than completing the agreed service.
9. Intellectual Property Rights
Upon full payment, all deliverables (designs, code, content) become the client’s intellectual property.
Raffaz retains the right to showcase non-confidential work in its portfolio unless the client requests otherwise in writing.
10. Service-Specific Policies
a. Domain Purchase:
Domains will be registered under the client’s name (or organization).
Annual renewal fees apply and are the client’s responsibility unless subscribed to a managed package.
b. Hosting
Hosting packages include technical support, security patches, and uptime monitoring (as per selected plan).
Downtime due to third-party providers is not the responsibility of Raffaz, but we will liaise to resolve issues promptly.
c. Social Media Management
Includes content creation, scheduling, and performance reporting.
Content approval will be obtained in advance where applicable.
Cancellation requires 30-day notice.
d. Database Sales
All databases sold are acquired legally and meet relevant data protection regulations.
Clients are responsible for how data is used post-sale. Raffaz will not be held liable for misuse.
e. Mobile App Design & Software Development
Includes UI/UX design, development, testing, and deployment.
Ongoing maintenance is not included unless covered by a separate support contract.
Source code rights are transferred upon final payment.
11. Post-Delivery Support
Basic support is offered for 15 days post-launch to address minor bugs or queries.
Ongoing support, updates, or maintenance must be covered under a service-level agreement (SLA).
12. Force Majeure
Raffaz is not liable for delays due to circumstances beyond its control (e.g., natural disasters, server failure, cyber-attacks, government action).
13. Limitation of Liability
Raffaz’s total liability for any claims shall not exceed the total amount paid by the client for the specific services.
14. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the jurisdiction where the client resides or operates (US or UK). Any disputes will first be addressed through negotiation, and if unresolved, by binding arbitration under that jurisdiction’s commercial arbitration rules.
15. Acceptance of Terms
By making a payment, the client confirms acceptance of these terms and conditions. All services provided are governed by this agreement unless a separate written contract is agreed.
